Terms and Conditions

These Terms of Use (“Terms”) are entered into between you and Steeped Tea Inc., including its vendors, subsidiaries, and independent consultants (“Sipology”, “we”, “us”, “our”). These Terms govern your access and use of the Sipology website located at sipology.com, including official corporate websites, Sipologists' personal websites, and any consultant-only portions of the website (“Website”).

 

1. Consent and Acceptance

By accessing Sipology.ca, all users, including Sipologists (Independent Consultants) and customers, agree to comply with these Terms and Conditions (“Agreement”) as well as the Privacy Policy incorporated by reference. If any user does not agree, they must not use the website. Sipology reserves the right to update or modify these Terms at any time; continued use constitutes acceptance of new Terms. 

 

2. Website Corrections, Changes, and Transactions

Sipology may:

  • Correct any errors, inaccuracies, or omissions across the website.

  • Update product/service descriptions, images, and references at any time, with or without notice.

  • Limit quantities or availability of products and services.

  • Refuse or prevent anyone from making purchases or accessing certain services.

  • Change prices or availability at any time.

All purchases are subject to prevailing prices at time of transaction, plus applicable shipping and taxes. Customers must pay all charges incurred; refunds and exchanges are governed by Sipology’s written policies.

 

3. Copyright and Intellectual Property

All content on Sipology.ca, including images, text, graphics, and arrangement of materials, is the exclusive property of Sipology and protected by Canadian and international copyright laws. No material may be copied, republished, or distributed without written permission from Sipology. Unauthorized use is strictly prohibited and may be subject to enforcement.

 

4. Trademarks and Brand Usage

All Sipology trademarks, service marks, logos, and trade dress displayed on the website are owned or licensed by Sipology. No license to use any trademark is given except by express agreement. Trademarks may not be used to mislead, confuse, disparage, or otherwise harm Sipology’s brand or reputation.

 

5. Use of Website

No part of the website, including content or functionality, may be reproduced, sold, or commercially exploited unless express written permission is granted by Sipology. Sipology may refuse service, cancel orders, or block website access if user conduct violates law or company policy.

 

6. User Submissions

Sipology welcomes feedback, suggestions, and ideas. Any submissions (comments, concepts, creative materials, product ideas, and more) grant Sipology a non-exclusive, royalty-free, perpetual, irrevocable right to use, modify, adapt, publish, create derivative works, and distribute those materials worldwide, in any media, without compensation. By submitting materials, you warrant that you own all rights, that your content does not infringe third-party rights, and that submission will not cause harm or financial injury.

Sipology reserves the right—but not the obligation—to moderate, edit, or remove user submissions at its sole discretion.

Any personally identifiable data in submissions is subject to Sipology’s Privacy Policy.

 

7. Linking and Third Party Sites

Sipology.ca may contain links to third-party websites not controlled by Sipology. Sipology does not endorse, monitor, or warrant the content, privacy practices, or products/services offered on those sites. Users access third-party sites at their own risk and should review the relevant terms and privacy policies independently.

 

8. Indemnification

Users agree to defend, indemnify, and hold harmless Sipology, its affiliates, employees, consultants, and agents from any losses, costs, damages, or legal expenses arising from use of the website, violations of these Terms, or infringement of third-party rights. Sipology reserves the right to assume exclusive defense of any indemnified matter; users must cooperate as reasonably requested.

 

9. Disclaimer and Limitation of Liability

Sipology.ca is provided “as is,” without warranties of any kind, explicit or implied. Sipology does not guarantee uninterrupted or error-free service. To the maximum allowable by law, Sipology disclaims liability for any damages (including incidental or consequential damages) arising out of use or inability to use the site.

If local law does not allow full exclusion or limitation of liability, Sipology’s liability will be limited to the minimum required by law.

 

10. Applicable Law

Sipology.ca is operated from Ontario, Canada. All use is governed by the laws of Ontario and Canada, without regard to principles of conflict of laws. Site users outside Ontario are responsible for compliance with their own jurisdiction’s regulations.

 

11. Subscription Transactions

If you enroll in any Sipology subscription plan, you authorize initial and recurring charges (until cancellation through account tools or by contacting Sipology directly). Subscriptions may be modified or cancelled at any time; cancellation notices must be provided before the next billing cycle to avoid future charges.

Users are responsible for maintaining accurate, current billing and delivery information. Failed payments may result in suspended services or outreach for updated payment methods.

 

12. Corrections and Dispute Resolution

Sipology reserves the right to:

  • Correct errors in descriptions or pricing before or after transactions have occurred.

  • Limit or refuse access to products/services due to suspected abuse, unlawful activity, or violation of policy.

  • Resolve disputes under these Terms with good faith and reasonable effort; disputes may be subject to mediation or arbitration per Canadian law.

Special Considerations for Sipologists

Sipologists (Independent Consultants) must comply with separate independent consultant agreements, codes of conduct, and Sipology policies. These Terms govern sipology.ca usage and supplement, but do not replace, any consultant-specific contracts.
